The Client remains responsible for its legal, regulatory and compliance decisions.

2.6 Use of third-party providers and partners. Lensforce may use third-party software, infrastructure, hosting providers, data-processing providers and technology partners to deliver the Services. The Client acknowledges that certain parts of the Services may rely on such third-party systems. While Lensforce remains responsible for selecting appropriate providers and coordinating the overall Service, Lensforce shall not be liable for failures, unavailability, changes or errors arising from third-party providers except where liability cannot lawfully be excluded.

3. Confidentiality and Data Protection

4.2 Unless otherwise agreed in writing, invoices are payable in accordance with the payment terms specified on the relevant invoice or Agreement.

4.3 Payments are non-refundable except where Lensforce materially fails to deliver Services that have been paid for and such failure is not remedied within a reasonable period. Where appropriate, any refund will be calculated on a pro-rata basis for undelivered Services.

4.4 Late payment may result in suspension of Services and may incur reasonable administrative or collection charges where legally permitted.

5. Term and Renewal

5.1 Unless a different term is stated in the applicable Agreement, the Agreement commences on the Effective Date specified in that Agreement and continues for a 12-month initial term.

6. Client Obligations

6.1 The Client must provide accurate and complete information reasonably required for delivery of the Services.

6.2 Where the Client provides internal rules, approved claims, sponsor lists, distributor lists, product data, source lists or other Client Data, the Client is responsible for ensuring that Lensforce is permitted to process that data for the agreed purpose.

7.2 The Client receives a limited, non-exclusive, non-transferable right to use the Services and deliverables for its internal business purposes during the applicable Agreement term.

7.3 Reverse engineering, unauthorized copying, sublicensing, resale or unauthorized sharing of the Services is prohibited.

7.4 The Client retains ownership of Client Data provided to Lensforce.

8.2 To the maximum extent permitted by law, Lensforce shall not be liable for indirect, incidental, consequential or punitive damages, including loss of profits, anticipated revenue, business opportunities or business interruption.

8.3 The Services are provided on an as is and as available basis. Except where prohibited by mandatory law, no representation or guarantee is made that:

  • the Services will operate without interruption;
  • every relevant public signal will be discovered;

8.5 Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory Swiss law, including liability for unlawful intent or gross negligence.

9. Force Majeure

Lensforce is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, major power outages, strikes, pandemics, cyber incidents affecting third-party infrastructure, internet backbone failures or widespread third-party service outages.

10. Termination

10.1 Either party may terminate an Agreement with immediate effect in the event of a material breach that remains uncured for more than 30 days after written notice requesting remediation.

10.2 Upon termination, all undisputed fees accrued up to the effective termination date become due.

10.3 Any provisions that by their nature are intended to survive termination shall remain in effect, including confidentiality, intellectual property and applicable liability provisions.

11. Governing Law and Jurisdiction

These Terms and any Agreement incorporating them are governed exclusively by Swiss law.

The exclusive place of jurisdiction for disputes arising out of or in connection with the Agreement shall be Zug, Switzerland, subject to any mandatory jurisdiction requirements that cannot lawfully be excluded.
